Introduction

If you are a consumer (i.e. an individual acting for purposes that are wholly or mainly outside your business, craft, trade or profession), these terms (together with the documents expressly referred to in it) tells you information about us and contains the legal terms and conditions on which we sell products to you.

On this page the words "we" "us" and "our" refer to Moroak (trading as Blake Envelopes).

1. These terms

1.1. What these terms cover. These are the terms and conditions on which we supply products to you.

1.2. Why you should read them. Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide products to you, how you and we may change or end the contract, what to do if there is a problem and they exclude and limit our liability to you in the event of loss or damage (see clause 14).

1.3. If you think that there is a mistake in these terms, please contact us to discuss.

2. Information about us and how to contact us

2.1. Who we are. We are Moroak (trading as Blake Envelopes), an unlimited company registered in England and Wales. Our company registration number is 03734189 and our registered office is at Clarence House Watercombe Lane, Lynx West Trading Estate, Yeovil, Somerset, BA20 2SU. Our registered VAT number is 737 2984 94.

2.3. How we may contact you. If we have to contact you we will do so by telephone or by writing to you at the email address or postal address you provided to us in your order.

2.4. "Writing" includes emails. When we use the words "writing" or "written" in these terms, this includes emails.

2.5. Words in these terms in the singular include the plural and vice versa

3. Our contract with you

3.1. How we will accept your order. Our acceptance of your order submitted via our website will take place when we email you to accept it. A contract will come into existence between you and us when we have accepted your order and received payment (in full and in cleared funds) for the products described in the order acceptance email.

3.2. If we cannot accept your order. If we are unable to accept your order, we will inform you of this in writing and will not charge you for the product. This might be because the product is out of stock, because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or description of the product or because we are unable to meet a delivery deadline you have specified.

3.3. Your order number. We will assign an order number to your order and tell you what it is when we email you to accept your order. It will help us if you can tell us the order number whenever you contact us about your order.

4. Our products

4.1. Products may vary slightly from their pictures. The images of the products on our website or which we make available to you (for example in our product catalogues) are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device's display of the colours accurately reflects the colour of the products. The products you receive from us may vary slightly from those images.

4.2. Making sure your order is accurate. Please take time to check your order carefully before you submit it. If we are making the product bespoke for you to match designs and/or images you have given to us or you are providing names and addresses to be printed on the products, you are responsible for ensuring that these are correct.

5. Your rights to make changes

5.1. If you wish to make a change to the product you have ordered please contact us (see clause 2.2). We will let you know if the change is possible. We reserve the right to refuse requested changes. If the change is possible we will let you know about any changes to the price of the product, the timing of supply or anything else which would be necessary as a result of your requested change and ask you to confirm whether you wish to go ahead with the change. We will not proceed with your order until we have your instructions. If you do not provide us with your instructions within a reasonable time of us asking for them, we may cancel the contract (see clause12.1).

5.2. If, during the 14 day cancellation period (if applicable) referred to in clause9,it is not possible to make the change or the consequences of making the change are unacceptable to you, you may want to end the contract (see clause9). For the avoidance of any doubt, if you ask us to make a change to a product after that 14 day cancellation period and it is not possible to make the change you have requested, or if we do not agree to the change, you will not have the right to end the contract.

6. Our rights to make changes

We may change the specification of the products (in whole or in part) to reflect changes in relevant laws and/or regulatory requirements or if there is an event outside our control (see clause16).

7. Price and payment

7.1. Where to find the price for the product. The price of the product (which includes VAT) will be the price indicated on the order pages when you placed your order. We take all reasonable care to ensure that the price of the product advised to you is correct. However please see clause7.4 for what happens if we discover an error in the price of the product you order.

7.2. Bespoke products. The price of bespoke products will be agreed in advance with you before carrying out any work. The price will be finalised and outlined to you in our confirmation email.

7.3. We will pass on changes in the rate of VAT. If the rate of VAT changes between your order date and the date we supply the product, we will adjust the rate of VAT that you pay, unless you have already paid for the product in full before the change in the rate of VAT takes effect.

7.4. What happens if we got the price wrong. It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We will normally check prices before accepting your order so that, where the product's correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the product's correct price at your order date is higher than the price stated to you, we will contact you for your instructions (i.e. to check whether you are willing to pay the correct higher price) before we accept your order. You may decide you do not want to proceed and to end the contract and we will require the return of any products provided to you. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any products provided to you and, once we have received the products, clause8.8will apply.

7.5. When you must pay and how you must pay. We accept payment by credit cards, bank cards, bank transfer, or PayPal. You must pay for the products at the point you submit your order via our website.

8. Providing the products

8.1. Delivery costs. Delivery charges and timescales vary depending on the type of product ordered. The costs of delivery will be as displayed to you on our website during the product order process.

8.2. When we will provide the products. During the order process we will let you know when we estimate we will be able to deliver the products to you. Any dates for delivery contained in the confirmation email are approximate only. We will ensure that the products you have ordered from us are delivered to you without undue delay and unless agreed otherwise (for example, for bespoke orders), not more than 30 days after the day on which the contract is entered into. If you have asked us to arrange for the products to be delivered to you we will contact you (via email or telephone when the products are nearing completion) to notify you of a date for the products to be delivered to you.

8.3. We are not responsible for delays outside our control. If our supply of the products is delayed by an event outside our control (see clause16) then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this, to the fullest extent permitted by law, we will not be liable for delays caused by the event, but if there is a risk of substantial delay (i.e. of eight weeks or more) you may contact us to end the contract and receive a refund for any products you have paid for but not received.

8.4. What will happen if you do not give required information to us. During the process of manufacturing certain goods (e.g. bespoke products), we may need certain instructions or information from you, so that we can complete design and production of the products and deliver them to you. For example, we may need you to provide us with instructions/information on your preferences for colour/design of the products. If you do not, within a reasonable time of us asking for it, provide us with the instructions/information we need from you, or you provide us with incomplete or incorrect instructions/information, you accept that this may cause a delay in the time it takes for us to deliver the products. We will not be responsible for late delivery of the products or not providing any part of them if this is caused by you not giving us the instructions/information we need within a reasonable time of us asking for it.

8.5. If you are not at home when the product is delivered. If no one is available at the designated delivery address to take delivery and the products cannot be posted through your letterbox, we will attempt to contact you (using the details you have given us) to arrange re-delivery.

8.6. If you do not re-arrange delivery. If, after a failed delivery to you, you do not re-arrange delivery or collect them from a delivery depot we will contact you for further instructions and may charge you for storage costs and any further delivery costs. If, despite our reasonable efforts, we are unable to contact you or re-arrange delivery or collection we may end the contract and clause 12.2 will apply.

8.7. Reviewing your order. You should check all products you receive against your order as soon as possible to make sure they reflect what you ordered and that they are not damaged. If you discover that the products do not reflect what you ordered, are damaged or are not as described you must tell us as soon as reasonably possible and no later than 30 days after discovering this, either by telephoning us, by email or by letter addressed to us at the address in clause2.2.We can then discuss with you the next steps to address your concerns.

8.8. When you become responsible for the products. The products will be your responsibility, and delivery will be considered complete, from the time we unload the product from the delivery vehicle at the delivery address you gave us for delivery.

8.9. When you own the products. You own the products once we have received payment in full and in cleared funds for the products.

9. Your rights to cancel

9.1. If you are a consumer, in certain circumstances you have a legal right to cancel a contract during the period set out below. This means that if you change your mind or for any other reason and you decide you do not want to keep a product during the cancellation period, you can notify us of your decision to cancel the contract and receive a refund. You do not have to give us a reason for exercising your right to cancel during the period set out below in clause9.3.Advice about your legal right to cancel the contract is available from your local Citizens' Advice Bureau or Trading Standards office.

9.2. However, this cancellation right does not apply in the case of:

9.2.1. any products that are made to your specification and/or which are clearly personalised or custom made; and/or

9.2.2. any products which become mixed inseparably with other items after their delivery to you.

9.3. Your legal right to cancel a contract starts from the date at which the contract between us is formed (see clauses3.1). Your deadline for cancelling the contract depends on what you ordered and how it is ordered, as set out in the table below.

Your Contract

End of the cancellation period

Your contract is for a single product (which is not delivered in instalments on separate days).

The end date is the end of 14 days after the day on which you receive the product.

Example: If the contract is formed on 1 January and you receive the product on 10 January, you may cancel the contract at any time between 1 January and the end of the day on 24 January.

Your contract is for either of the following:

· One product which is delivered in instalments on separate days.

· Multiple products which are delivered on separate days.

The end date is the end of 14 days after the day on which you receive the last instalment of the product or the last of the separate products ordered.

Example: If the contract is formed on 1 January and you receive the first instalment of your product or the first of your separate products on 10 January and the last instalment on 15 January, you may cancel the contract in respect of all instalments and any or all of the separate products at any time between 1 January and the end of the day on 29 January.

9.4. To cancel a contract, you just need to let us know that you have decided to cancel. The easiest way to do this is to complete the cancellation form available inSchedule 1to these terms. You can return your completed cancellation form to us by email to customerqueries@blake- envelopes.com or by post to Customer Services, Blake Envelopes, Clarence House, Watercombe Lane, Yeovil, Somerset BA20 2SU.

9.5. You do not have to use the cancellation form to cancel your order. If you do not wish to use the cancellation form, you can also email us at customerqueries@blake-envelopes.com or by post to Customer Services, Blake Envelopes, Clarence House, Watercombe Lane, Yeovil, Somerset BA20 2SU. If you are emailing us or writing to us please include details of your order to help us to identify it (e.g. our order number, name, email address, etc.). If you send us your cancellation notice by email or by post, then your cancellation is effective from the date you send us the email or post the letter to us. For example, you will have given us the notice in time as long as you get your letter into the last post on the last day of the cancellation period (with the correct postage paid) or email us before midnight on that day. You may wish to keep a copy of your cancellation notice for your own records.

9.6. To meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.

9.7. If you cancel your contract and, subject to you complying with clause 9.8,we will:

9.7.1. refund you the price of the products. Please note we are permitted by law to reduce your refund to reflect any reduction in the value of the goods, if this has been caused by your unnecessary handling of them in a way which would not be permitted in a shop (i.e. your handling them in a manner other than what is necessary to establish the nature, characteristics and functioning of the products) or where the item has not just been checked, but used. For example, if you have received a product and have removed any packaging to check that the product is not damaged, this would be acceptable. However, it is likely that we would reduce your refund to reflect its diminished value if you had used the product and/or caused any damage to the product before you returned it to us.

9.7.2. refund any delivery costs you have paid in having the products delivered to you, although, as permitted by law, the maximum refund in respect of delivery costs you have paid will be the costs of delivery by the least expensive delivery method we offer.

9.7.3. make any refunds to you without undue delay and in any event within the deadlines indicated below:

9.7.3.1. if you have received the product and we have not offered to collect it from you: 14 days after the day on which we receive the product back from you or, if earlier, the day on which you provide us with evidence that you have sent the product back to us. For information on how to return a product to us, see clause 9.8 and 9.8;

9.7.3.2. if you have not received the product or you have received it and we have offered to collect it from you: 14 days after you inform us of your decision to cancel the contract.

Please note that we may withhold reimbursement until you have complied with the requirements of clause 9.9.

9.8. If the products are delivered to you before you decide to cancel your contract:

9.8.1. you must return the products to us without undue delay in their original packaging and within no more than 14 days after the day on which you let us know that you wish to cancel the contract. The deadline is met if you send back the products before the period of 14 days has expired. You can arrange for delivery by you or a third party of the products to us at the address in clause 2.2;

9.8.2. you will find a returns form included on the delivery note enclosed with your order. You must complete the form with the details of the products you are returning;

9.8.3. you will be responsible for the cost of returning the products to us and for ensuring that the products returned to us are not damaged while they are in your possession and/or in transit (please see clause 9.9); and

9.8.4. you must take reasonable care of the products and keep them in your possession and not use them until they are returned to us or collected by us.

9.9. If you choose to return any products to us we will not be responsible for loss or damage to them in transit. We therefore recommend that these are returned to us using recorded delivery with a reputable delivery provider. If products and/or our original packaging materials are damaged or lost while they are in your control or in delivery we reserve the right to charge you, or not to refund any amounts due to you, that are attributable to the loss or damage.

10. Your right to end the contract

10.1. You can only end the contract because you have a statutory right to cancel (see clause 9) or if you have a good reason to do so (i.e. only for a reason set out in clauses 10.1.1 and 10.1.2 below) in which case the contract will end immediately and, if you have made any payment in advance we will refund you in full, subject to clause 9.7.1, for any products which have not been provided or have not been properly provided. The relevant reasons are:

10.1.1. Supply of the products is delayed for eight weeks because of an event outside our control; or

10.1.2. You have a legal right to end the contract because of something we have done wrong.

10.2. Ending the contract because of something we have done or are going to do. If you are ending a contract for a reason set out at 10.2.1below, the contract will end immediately and we will refund you in full for any products which have not been provided and you may also be entitled to compensation. The reasons are:

10.2.1. we have told you about a change to the product or these terms which you do not agree to (see clause6);

10.2.2. we have told you about an error in the price or description of the product you have ordered and you do not wish to proceed (see clause 7.4).

11. How to end the contract with us

11.1. Tell us you want to end the contract. To end the contract with us (if you have a valid reason to do so, see clause 9.1), please let us know by doing one of the following:

11.1.1. Phone or email. Call customer services on 01935 477555 or email us at customerqueries@blake-envelopes.com. Please provide your name, home address, details of the order and, where available, your phone number and email address.

11.1.2. By post. Simply write to us at our address at 2.2, including your order number, details of what you bought, when you ordered or received it and your name and address.

11.2. When we will pay the costs of return. We will pay the costs of return:

11.2.1. if the products are faulty or misdescribed;

11.2.2. if you are ending the contract because we have told you of an upcoming change to the product or these terms, an error in pricing or description, a delay in delivery due to events outside our control which has lasted more than eight weeks, or because you have a legal right to do so as a result of something we have done wrong.

In all other circumstances (including where you are exercising your right to cancel) you must pay the costs of return.

11.3. When your refund will be made. We will make any refunds due to you as soon as possible.

12. Our rights to end the contract

12.1. We may end the contract if you break it. We may end the contract at any time by writing to you by email or post to the email address or postal address you gave us during the order process if:

12.1.1. you do not make any payment to us when it is due and you still do not make payment within 7 days of us reminding you that payment is due;

12.1.2. you do not, within a reasonable time of us asking for it, provide us with instructions or information that is necessary for us to provide the products ordered (see clause 5.1, 8.4);

12.1.3. we have identified a pricing error for the products (see clause 7.4); or

12.1.4. you do not, within a reasonable time, allow us to deliver the products to you (see clause8.6.

12.2. You must compensate us if you break the contract. If we end the contract in the situations set out in clause 12.1 we will refund any money you have paid in advance for products we have not provided but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract (for example, if we have incurred delivery costs, storage costs, or manufacturing costs which we are unable to recover).

13. If there is a problem with the product

13.1. How to tell us about problems. If you have any questions or complaints about the product, please contact us. You can telephone us at 01935 477555 or write to us by email customerqueries@blake-envelopes.com or by post Customer Services, Blake Envelopes, Clarence House, Watercombe Lane, Yeovil, Somerset BA20 2SU.

14. Our responsibility for loss or damage suffered by you

14.1. We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen, for example, if you discussed it with us during the sales process.

14.2. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for:

14.2.1. death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation;

14.2.2. any liability or responsibility that cannot be excluded or restricted under section 31 of the Consumer Rights Act 2015;

14.2.3. defective products under the Consumer Protection Act 1987; and

14.2.4. any other liability for which it would be unlawful for us to exclude or limit or attempt to exclude our liability.

14.3. We are not liable for business losses. We only supply the products for domestic and private use. If you use the products for any commercial, business or re-sale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

15. How we may use your personal information

How we may use your personal information. We will only use your personal information as set out in our Privacy Policy which can be found here - blake-envelopes.com/cookies-and-privacy-policy

16.2.1. strikes, lock-outs or other industrial action;

16.2.2. civil commotion, riot, invasion, terrorist attack or threat or risk of terrorist attack, war (whether declared or not) or threat or preparation for war;

16.2.3. fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;

16.2.4. impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;

16.2.5. impossibility of the use of public or private telecommunications networks;

16.2.6. the acts, decrees, legislation, regulations or restrictions of any government;

16.2.7. denial of service attacks or other types of cyber-attacks that are directed toward the infrastructure that supports the site and/or our computer systems;

16.2.8. any failure or service outage that falls outside of our control.

16.3. Our performance under the contract is deemed to be suspended for the period that the event outside our control continues, and we will have an extension of time for performance for the duration of that period. We will endeavour to bring the event outside our control to a close or to find a solution by which our obligations under the contract may be performed despite the event outside our control.

16.4. If an event outside our control takes place that affects the performance of our obligations under the contract, we will contact you as soon as reasonably possible to notify you. If an event outside our control takes place that affect the performance of our obligations under a contract for a period of more than eight weeks, then you may cancel the contract and we will refund any sums you have paid to us in respect of the products that have been paid for, but not delivered, as soon as we are able to.

17.1. We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation.

17.2. You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.

17.3. Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms. Neither of us will need to get the agreement of any other person in order to end the contract or make any changes to these terms.

17.4. If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

17.5. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to provide the products, we can still require you to make the payment at a later date.

17.6. Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts. Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how we have handled any complaint or we fail to resolve a dispute between us in relation to a contract you may want to contact the following certified ADR provider The Retail Ombudsman whom we are willing to work with. Further information about The Retail Ombudsman is available on their website at http://www.theretailombudsman.org.uk. We are also required to provide you with a link to the European Commission's Online Dispute Resolution (ODR) platform: http://ec.europa.eu/consumers/odr/.
